You are not legally required to use a lawyer, but registration involves regulatory classification, beneficial ownership disclosure, and an attested AML program. Errors delay approval or cause bank rejections. A lawyer confirms you qualify as an MSB, prepares the documentation FINTRAC expects, and reduces the risk of a failed first submission.
A FINTRAC-compliant AML program includes five mandatory parts: an appointed Compliance Officer, written policies and procedures, a documented risk assessment, ongoing employee training, and a periodic effectiveness review. It also covers KYC identity verification, transaction monitoring, record-keeping, and suspicious transaction reporting, each reflecting your specific business, not a generic template.
Revocation ends your legal ability to operate as an MSB in Canada and typically triggers loss of banking access. FINTRAC usually issues a Notice of Intent to Revoke first, which opens a strict response window. In past matters, well-prepared representations have led FINTRAC to withdraw or modify such notices. Every matter depends on the violations cited and the compliance record, and no outcome can be guaranteed.
With complete and accurate documentation, MSB registration typically takes two to six weeks from submission to confirmation. Delays usually come from incomplete beneficial ownership information, an unclear description of services, or an AML program that is not yet in place. Registration must be renewed every two years.
Operating unregistered creates exposure across three areas. Criminal: the PCMLTFA authorizes charges, fines, and imprisonment for wilful non-compliance. Financial: Administrative Monetary Penalties can reach significant sums. Operational: most Canadian banks will not maintain or open accounts for an unregistered MSB. A classification assessment from a lawyer before operating removes this uncertainty.
An MSB is a money services business with a place of business in Canada. An FMSB (Foreign Money Services Business) is a non-Canadian business that directs money services to people or entities in Canada, even without a physical Canadian presence. FMSBs face distinct registration requirements, including an authorized Canadian representative.
You respond in writing within the deadline stated in the Notice, usually around 30 days, addressing each cited deficiency and documenting your remediation. Do not contact FINTRAC or respond without legal counsel, unrepresented responses often make matters worse. The response window cannot be extended, so act the day the Notice arrives.
Yes. Administrative Monetary Penalties carry their own review and appeal process through the administrative tribunals system, separate from a revocation notice. A represented response can challenge the penalty amount and the underlying findings. Outcomes vary with the facts and compliance history, so early legal involvement matters.
MSBs must file three types of mandatory transaction reports. Large Cash Transaction Reports (LCTRs) within 15 business days when a cash transaction reaches or exceeds $10,000. Large Virtual Currency Transaction Reports (LVCTRs) within 5 business days for cryptocurrency transactions at or above $10,000. FINTRAC transaction reporting obligations explains each report type, the deadlines, and common filing mistakes to avoid.
Contact an MSB lawyer the same day the Notice arrives, the response window is fixed and cannot be extended. Preserve every piece of compliance documentation in its current state without alteration: AML policies, KYC records, transaction logs, staff training records, and audit materials. Read the Notice carefully and note each PCMLTFA provision cited and every deadline. Write a factual account of the compliance gap while details are clear. Do not contact FINTRAC or submit any response without legal counsel.
FINTRAC requires your legal business name and address, business structure and ownership details, names and addresses of all beneficial owners and directors, the specific MSB services offered, the locations of service, contact details for your designated compliance officer, and a description of your AML program. Supporting identity documents for all owners and directors are also required. Incomplete or inaccurate submissions are a common cause of registration delays and rejections.
The PCMLTFA requires MSBs to retain all compliance-related records for a minimum of five years from the date of the transaction or the creation of the record, client identification records, transaction records, large transaction reports, compliance policies and procedures, employee training records, and risk assessment documentation. FINTRAC examiners regularly request records going back several years.
Yes. Opening or maintaining a Canadian bank account often requires compliance documentation that satisfies the bank's own AML due diligence, which frequently goes beyond basic FINTRAC registration.
