Using a lawyer is optional, but registration asks you to classify your business correctly, disclose beneficial owners, and put an attested AML program in place. Mistakes lead to delays or bank rejections. A lawyer confirms you qualify, prepares what FINTRAC expects, and cuts the risk of a failed first submission.
FINTRAC requires a designated compliance officer, written compliance policies, a risk assessment on file, a continuing training plan, and a two-yearly review of how well it all works. Bill C-12 added a further test in March 2026: the program has to be reasonably designed, risk-based, and effective, with KYC, monitoring, and reporting fitted to your business.
Revocation removes your right to operate as an MSB anywhere in Canada, and banks usually close accounts soon after. FINTRAC generally sends a Notice of Intent to Revoke first, opening a short response window, and a revoked business may request a review within 30 days. Well-built responses have, in earlier files, persuaded FINTRAC to pull back or narrow a notice. No outcome is guaranteed.
With a complete and accurate file, expect about two to six weeks from submission to confirmation. The usual delays are missing beneficial ownership details, vague service descriptions, and an AML program that is not ready yet. You face three kinds of exposure. Criminally, the PCMLTFA allows charges, fines, and imprisonment. Administratively, violations after March 26, 2026, can draw maximum penalties of $40,000, $4 million, or $20 million each, depending on severity. Operationally, few Canadian banks will take on an unregistered MSB. Checking your classification before launch removes the risk.
An MSB has a place of business in Canada, whether through incorporation, an office, employees, agents, or branches. An FMSB lacks that presence but still targets and serves Canadian customers, often online. Both must register with FINTRAC before operating and meet the same core compliance duties.
Your written response must reach FINTRAC before the deadline in the Notice, usually about 30 days, and should tackle each cited deficiency with evidence of the fixes made. Do not contact FINTRAC or reply without counsel, because unrepresented responses often hurt more than help. Act the day the Notice arrives.
Yes. Administrative monetary penalties follow their own review and appeal process, separate from revocation. A represented challenge can target both the amount and the findings, which matters more now that Bill C-12 has raised maximum penalties sharply. Outcomes depend on the facts and compliance history, so involve a lawyer early.
Key filings are Large Cash Transaction Reports, due 15 calendar days after receiving $10,000 or more in cash, Large Virtual Currency Transaction Reports within 5 working days at the same threshold, Electronic Funds Transfer Reports when you send or receive $10,000 or more across borders, and Suspicious Transaction Reports as soon as practicable. Call an MSB lawyer that same day, since the response window is short and should be treated as fixed. Preserve every compliance record in its current form, such as your AML manual, client ID files, transaction logs, training sign-offs, and audit papers, without changing anything. Read the Notice carefully and list each PCMLTFA provision and deadline cited. Record the facts behind the compliance gap while memories are fresh. Do not contact FINTRAC or respond without legal counsel.
FINTRAC asks for your legal business name and address, structure and ownership, the names and addresses of every beneficial owner and director, the MSB services you provide, where you provide them, your compliance officer's contact details, and bank account information, along with a description of your AML program. Identity documents for owners and directors are also required. Incomplete or inaccurate files are a frequent cause of delays and rejections.
Five years is the general minimum, measured from the date of the transaction or the date the record was made. It covers client ID records, transaction and large transaction reports, compliance policies, training logs, and risk assessments. Examiners often ask for years of history, so a clean, searchable filing system pays off.
