Your Trusted Legal Advisor. Need Any Help?
Thinking about a franchise on Yonge Street, near Hillcrest Mall, or along Highway 7? Talk to Irbaz Wahab before you sign. He reads every page, explains it in plain words, and shows you where the risks are. One flat fee. No retainer.

For many Richmond Hill families, a franchise is the biggest cheque they will write after the house. And you rarely sign just one paper. Most buyers sign a franchise agreement, a lease or sublease, and a personal guarantee. A franchise buying lawyer in Richmond Hill checks all three together, so nothing slips through the cracks.
Buying? We check the fees, the territory, the renewal terms, the exit rules, and what you owe if things go wrong. Our FDD review for Richmond Hill buyers shows you what the brand is really promising. Own the brand? We prepare your disclosure document and handle your franchise agreement drafting and review, so you can sell new units the right way.
Ontario’s Arthur Wishart Act gives you at least 14 days with the full disclosure document before you sign or pay anything. If that document comes late, or leaves out facts the law requires, you may have a right to cancel the deal, called rescission. A short call before you sign can save you years of stress.

Franchise Clients Served
Franchise law is the heart of this practice, not a side job. Irbaz Wahab handles every file himself, and you know the fee before any work starts. Every franchise also needs a solid company behind it. So we also help with Richmond Hill business law matters, like setting up your corporation or a shareholder agreement with your partner.
Do you run a franchise system from an office in Beaver Creek or elsewhere in the York Region? Your disclosure document must meet Ontario law. We build the full package, including financial statements, fees, key facts about your system, and every required form. When we finish, it is ready to hand to buyers.
Your franchise agreement sets your territory, royalty, renewal, and exit rules for 5, 10, or even 20 years. The franchisor's lawyer wrote it, so it leans their way. We walk you through each clause, point out the ones that can hurt you, and ask for fair changes.
A licence or distribution deal can become a franchise under Ontario law, even when nobody meant it to. That can bring disclosure duties you did not plan for. Our licensing and distribution lawyer in Richmond Hill helps you pick the right setup from day one.
Selling your first unit is only the start. Fair dealing, franchisee associations, statements of material change, renewals, and transfers all need care. Our franchise compliance support in Richmond Hill keeps your system on track as you grow across York Region.
Do you run a busy café on Major Mackenzie, or a learning centre in Oak Ridges that people keep asking to copy? Our franchise system development service builds the legal side. That covers your company setup, the FDD, the franchise agreement, an operations manual outline, and trademark protection.
A U.S. or overseas brand that wants a Richmond Hill location needs an Ontario-ready disclosure document. A U.S. FDD with a few edits is not enough. A Richmond Hill brand heading south faces the U.S. FTC Franchise Rule and state laws. Our cross-border franchise help for Richmond Hill brands works on deals in both directions.
Your savings deserve a second set of eyes. We read the FDD and the agreement clause by clause. We explain what you are agreeing to, flag the terms most likely to cost you money, and push back where the deal is unfair. You sign knowing exactly what you signed.
When trust breaks down, a franchise dispute can move fast. Our franchise dispute lawyer in Richmond Hill helps franchisees and franchisors with disclosure claims, rescission, unfair termination, and fair dealing problems. First, we help you understand your options and protect your position.

Richmond Hill is home to more than 200,000 people, and new plazas keep opening along Yonge Street, Highway 7, and Leslie Street. We work with franchise buyers and brand owners in every part of town, from Oak Ridges and Jefferson to Langstaff and Beaver Creek. We also help clients in Markham, Vaughan, Thornhill, Aurora, and Newmarket.
The law does not force you to hire one, but skipping it is a big gamble. No government office in Ontario checks a franchisor's disclosure document before it reaches you. The franchisor's lawyers wrote it to protect the franchisor. A lawyer from our Ontario franchise law team reads it line by line. You learn what you are really signing up for, before you pay.
The Arthur Wishart Act (Franchise Disclosure), 2000 is Ontario's franchise law. It covers every franchise in Richmond Hill. It tells franchisors what they must disclose and gives you at least 14 days to review. It makes both sides deal fairly, and it lets franchisees join a franchisee association. You cannot sign away these rights. They apply even if the brand's head office is outside Ontario.
You must have the full disclosure document for at least 14 days before you sign the franchise agreement or pay the franchisor anything. Use those two weeks to review it with a lawyer. Send us the package the day you get it, and we plan the review around your signing date. If someone pushes you to sign sooner, treat it as a warning sign.
Bring the disclosure document, the draft franchise agreement, any lease or offer to lease, and any deposit or site agreement. Also bring emails or brochures with promises about sales or support, and your target signing date. Have none of these yet? Call anyway. We can tell you what to ask for.
Sometimes. If the disclosure document came late or missed required facts, you may be able to cancel within 60 days of getting it. If you never got one, that window can stretch up to two years after signing. The Ontario Court of Appeal has said a document counts as "no disclosure" only when it is so flawed that you could not make an informed decision. The franchisor then has 60 days to pay back what the Act requires. Every case turns on its facts, so talk to a lawyer quickly.
Often, yes. A franchisor may call its agreement "standard." Still, many will talk about territory size, renewal terms, transfer rights, and limits on your personal guarantee. A lawyer who has seen many agreements knows which requests brands tend to accept. That keeps the talks short and friendly.
Yes. Many franchisors sign the main lease with the landlord and then sublease the unit to you. If the franchise ends, you could lose the space too. We check how your lease and franchise agreement fit together, including relocation, renovation, and what happens at the end. Learn more about head leases and subleases in franchising.
A personal guarantee means you promise to pay the company's franchise debts from your own pocket if the business cannot. Most franchisors ask for one. You can often ask to cap the amount, set an end date, or get released if you sell. We review it before you sign.
In most cases, yes. A corporation can keep business debts apart from your personal savings, and it can help at tax time. Many franchisors expect it too. We can set up the company and make sure your shareholder terms match the franchise agreement.
As soon as one brand looks serious and the disclosure document arrives. Ideally, call before you pay any deposit. Plan to franchise your own Richmond Hill business? Bring in a lawyer at the planning stage, because your company setup shapes everything that follows.
At Cloudhaus Law, every franchise matter starts with a flat-fee quote, before any work begins. The price depends on what you need. That could be a review only, a review plus negotiation, or a full franchise system. Your first consultation is free. There is no retainer and no hourly clock.
The law does not require one, but franchising without it is risky. A registered Ontario business name is not a trademark. Someone else could register a similar mark with the Canadian Intellectual Property Office. Then your franchisees may pay to use a name you do not fully control. File before your first franchisee signs.
From your first FDD to your tenth location, Irbaz Wahab can guide your Richmond Hill franchise matter from start to finish. Get flat-fee support with no retainer. Your first call is free.
