Your Trusted Legal Advisor. Need Any Help?
A franchise agreement can tie you to a brand for 10 years or more. It decides your fees, your territory, and how you get out. Irbaz Wahab reads every clause, tells you what it really means, and helps you fix what is unfair. One flat fee, quoted before we start.

The franchise agreement is the contract you actually sign. The franchisor’s lawyers wrote it, and it protects the franchisor first. Most buyers we meet have read it twice and still feel unsure. That is normal. The language is dense, and the costly parts often hide in the fine print.
We usually check your agreement together with your franchise disclosure document review, because the two must match. If a salesperson promises one thing and the contract says another, the contract usually wins. New to all this? Start with our simple guide on what a franchise agreement is.
Cloudhaus Law is a franchise law firm serving all of Canada. Irbaz Wahab handles every file himself, from the first read to the final signature.
70+
Franchise Locations Opened
These eight areas cause the most trouble for franchise owners later. We check each one, then explain the risks in plain words and rank them by how much they matter to you.
How long is the deal, and can you renew? Many agreements make you sign the franchisor's newest agreement at renewal, with new fees. We check what renewal will really cost.
Royalties, ad fund fees, tech fees, and training costs add up fast. We check how each fee is worked out and whether the franchisor can raise it.
Does your territory stop new units from opening nearby? What about delivery apps, online sales, or stores in malls? Many territories have holes. We find them.
You may have to buy from approved suppliers, follow a manual that can change, and renovate every few years. We check how much control the franchisor has over your costs.
Often the franchisor holds the main lease and rents the unit to you, and asks you to back the deal personally. We check both. Read how head leases and subleases work in franchising.
Can you sell when you want to? Most agreements need the franchisor's approval and a transfer fee. We check these rules now, so selling later is not a shock.
What counts as a breach, and how long do you get to fix it? We push for fair time to fix problems. If you ever need out, see how to get out of a franchise agreement.
After the deal ends, you may not be able to run a similar business nearby for a while. We check that the limit is reasonable, and where and under which province's law any dispute will be heard.
Irbaz has worked for both franchisees and franchisors. He knows what brands usually accept and what they almost never change. That saves you time and keeps talks friendly.
We review your franchise agreement, lease or sublease, and personal guarantee as one package. We suggest fair changes and can talk to the franchisor for you. We can also set up the corporation you sign through.
We draft agreements that protect your brand and still feel fair to buyers. That includes unit, multi-unit, area developer, and master agreements. Our franchise compliance lawyers keep them in line as you sell in new provinces.
A U.S. agreement built for the FTC Franchise Rule does not drop neatly into Canada. Provincial laws and Quebec's language rules need attention. Our cross-border franchise lawyer builds a Canadian version that works with your U.S. system.
Canada has no single national franchise law. Each province sets its own rules, and the numbers below matter in every province that has a franchise law.
| Province | Franchise law | What it means for you |
|---|---|---|
| Ontario | Arthur Wishart Act (Franchise Disclosure), 2000 | Disclosure, fair dealing, right to associate, and rescission rights |
| Alberta | Franchises Act | Disclosure, fair dealing, right to associate, and cancellation rights |
| British Columbia | Franchises Act | Disclosure, fair dealing, right to associate, and rescission rights |
| Manitoba | The Franchises Act | Disclosure, fair dealing, right to associate, and rescission rights |
| New Brunswick | Franchises Act | Disclosure, fair dealing, right to associate, and rescission rights |
| Prince Edward Island | Franchises Act | Disclosure, fair dealing, right to associate, and rescission rights |
| Saskatchewan | The Franchise Disclosure Act (in force June 30, 2026) | New law with disclosure, fair dealing, right to associate, and rescission rights |
| Quebec, Nova Scotia, Newfoundland and Labrador, and the territories | No franchise disclosure law | General contract law applies. In Quebec, Civil Code and French-language rules also apply. |
If disclosure is late or misses key facts, you may be able to cancel the deal. Learn more about rescission under the Arthur Wishart Act, or read our guide to franchising across Canadian provinces.

We serve franchise clients across Canada by phone and video. In the Greater Toronto Area, you can also visit the page for your city.
A franchise agreement lawyer reads the contract, explains what each clause means for you, and spots the terms that could cost you money or limit your choices later. The lawyer can also ask the franchisor for changes. For brand owners, the lawyer drafts the agreement and keeps it in line with provincial law.
You get a plain-language summary of the key risks, ranked from "fine" to "deal-breaker." You also get a list of changes worth asking for and a call to walk through everything. If you want, we then negotiate those changes with the franchisor for you.
Send the disclosure document, the draft franchise agreement and its schedules, any lease or offer to lease, and the personal guarantee. Add any deposit or site agreement, emails with promises about sales or support, and your signing date.
It depends on the size of the package and what you need. A review only costs less than a review plus negotiation. At Cloudhaus Law, you get a flat-fee quote before any work starts, and your first call is free. You pay your own lawyer. The franchisor's lawyer works only for the franchisor.
We set the timeline with you at the start, based on your signing date. Send the full package as early as you can. If your date is close, tell us on the first call so we can plan around it.
Often, yes. Big national chains may change very little, but newer and mid-size brands often agree to fair requests. Common asks include a clearer territory and a cap on the personal guarantee. Many buyers also ask for more time to fix problems, renewal terms in writing, a fair transfer fee, and an opening date that matches the lease. Changes usually go into a short amendment both sides sign.
"Standard" means standard for the franchisor, not fair for you. Even if nothing changes, a review still shows you the risks. Then you can plan for them or walk away before you invest.
Slow down if you see any of these. You feel pushed to sign or pay before you get the full disclosure document. Sales promises are not in writing. A "protected" territory has many exceptions. Fees have no cap. The personal guarantee has no limit. The franchisor can end the deal with no time to fix a problem. Or you are asked to give up your legal rights. See more common franchise agreement pitfalls.
Many run 5 to 10 years, and some large brands use 15 or 20. The term often lines up with the lease. Check whether you can renew, how many times, and on what terms.
Sometimes. Options include selling to an approved buyer, agreeing with the franchisor to end it, or, in some cases, cancelling because disclosure rules were broken. Each case depends on the contract and the facts. Get advice before you stop paying or close the doors.
The disclosure document is the information package you get before you sign. The franchise agreement is the contract that binds you for the whole term. Read our side-by-side guide on the franchise agreement versus the disclosure document.
Usually not. Most franchise agreements say the written contract is the whole deal. If a promise matters to you, get it written into the agreement or an amendment before you sign.
Most franchisees sign through a corporation, which can help keep business debts apart from personal savings. The franchisor may still ask for a personal guarantee. See our guide on the best legal structure for a franchise.
